Ok, I was just on the phone with a local computer store and they gave me these prices,
(CDN$)

AMD Athlon 64 3500+ s939 clawhammer for $549 as apposed to the non oem which is supposed to cost ~$700+. I also got the price for an ATi x800pro at $449 while the non oem costs $625.

These are some very large differences in price. I think it means the cpu doesn't come with a heat sink? Does this affect the warrenty?

p.s. are these prices good??

OEM processors typically only have a 30 to 90 day warranty, and don't come with the HSF, as you stated. The warranty is usually 3 years I think with the retail.
