Ninja Mounting on 939 A8n-E

I'm building a new system with parts I've had lying around for a bit here are the specs

Opteron 170 0165DPMW
Scythe Ninja Rev B
BFG g7950gt 512MB PCIe
2x 1 GB Kingston HyperX DDR400
A8n-e s939 mobo
Antec P150 Case
Corsair 620W
2 Samsung SATA2 HDs
1 NEC 3500 IDE DVD-RW

I got it assembled mainly (beast with that cooler) and connected just the power supply, CD-Rom (to flash bios), Video card and RAM and CPU with the Scythe and a Yate Loon running at 12v with the case open (2 Nexus 92mm at from @12v as well). I planned to update the bios and then run memtest to make sure the RAM (which passed with flying colors on my earlier system). The system posts fine and I was able to go into the bios and change settings (1010 bios). However I noticed the CPU temp in the bios was 50 on first run and made its way all the way to 63 after a couple of minutes. That was enough for me so I shut the thing off. Now I figure the Ninja must not be making contact properly. Thing is I don't know how I can change that, it is tight with the board but should and does fit however I'm unimpressed with the 939 mounting kit. Just a clamp no screws etc also when the case is vertical I can move the HS slightly in a upwards direction. Its very frustrating as I'm afraid to remove it will entail and entire disassemble. I built this as a silent setup and the Ninja was a big part of that. However I'm tempted to put that AMD heatpipe stock cooler on there as I don't really know what I could do differently as far as mounting (mounted with AS5 following the dual core instructions online).
Sorry to ramble just a bit frazzled. Any one got any thoughts, is it worth trying to remount the ninja or is it just too heavy maybe. Thanks for any help

BTW have a thermalright HR05 SLI on the Nf4 and it runs at 27 C

OK I have left it in the bios and it seems to have settled around 54 C with the mobo @ 30 is sitting in the bios idling or @ load? Heatpipes on the Ninja are still cool to touch while the HR05 is definitely transferring heat nicely and warm to touch.
 
I used to have an A8N-E and ran my current Scythe Ninja on it, no problems. Take a look at the base of the heatsink and make sure it's flat and smooth. I remember when I got mine that there were tons of machine marks on it so I had to lap it. You may want to look into that.

I did notice machine marks like you mentioned. I'm sure lapping will make a difference, however it seems like it should work better even if its a bad surface (it was smooth, I didn't check flat). When it sits in the bios it climbs to 56-57 after about 10 minutes (mobo at 32) I can't figure out if in this mode thats load or idle. Its better than the first run but still bad. lol I think I'm thinking of excuses just cause I'm dreading taking the damn thing off :)

I will definitely lap it when it comes off I'm kind in crunch time so I'm thinking of going with the stock and trying for quiet in a bit when things calm down
ran memtest for a minute or 2 checked the temp, 70 off it comes
