Tell me if I should change any of this for upgrade

Intel E6400 ---upgrade
Intel D975Xbx Mobo ---upgrade [Already have got for free =) ]
Corsair XMS2 2GB DDR2 PC2 6400 ---upgrade
Nvidia 7800gt
Zalman 7700 [Just hope I can find my LGA775 parts >_< ]
OCZ Modstream 520w PSU
 
Which Corsair XMS kit are you going with? I ask because if they cost more than $220 they're not really worth it unless you plan on some crazy OC'ing to about DDR2-1067 speeds (assuming they can reach that speed). Otherwise, just stick to the G.Skill 2GB kit for $210 or the OCZ Plat Rev2 2gb kit for $220, both DDR2-800 and a better value than higher priced corsair sticks.

Also, why the badaxe board? I see you have a 7800GT, so I know you dont plan on going crossfire, hehe. I'd go for the Asus P5B Deluxe if you're inclined to spend loads of money on the mobo. Otherwise, the Gigabyte GA-965P-S3 or DS3 are perfectly fine for great OC'ing.
 
I got the mobo free for winning a lan tournament as well as reciving 200$ so I figured I upgrade to a core 2 duo with that mobo.
 
In that case, I'd put the $200 towards an E6600 instead of the E6400, hehe.
