New mobo, won't install windows.

I have a new Asus A7V8X-X with a Duron 1600.
When I try to install WinXP Pro, it loads all the initial drivers and when it says "Setup is starting Windows" the computer shuts off.

I've booted into Windows PE (Not ME, don't get that confused) just fine. Mouse and KB work. I'm even able to create and format a partion on the WD hard drive.
I booted from a DOS disk just fine too. (to upgrade the BIOS)

I've tried different settings in the BIOS, disabled onboard devices (serial, parallel etc)
I've upgraded to the newest BIOS 1008.
I've tried a different PSU.
I've tried a different installation disk.
I don't have any add-ins except the NIC and Video card, & CDROM which I'm confident they are all good. They came out of a working box.
When I press Ctrl-Alt-Del (in DOS for example) the computer shuts off.

I've checked the BIOS for cpu temp, it stays about 122F

When it does shut-off, for any of the above reasons, the power button doesn't turn it back on. I have to disconnect power, wait for the stand-by light to go off, then plug it back in.

Any help will be greatly appreciated.

Sounds like a hardware or driver conflict.

Pull all non-required add-on cards out, and try the installation again. This doesn't mean they parts don't work, just that they may not like to work together in this new motherboard.

Get the machine working first, then put in all the extra shit (one at a time).

I took out the NIC and replaced the AGP video card with a PCI video card.

After booting from the WinXP install disk, it still shuts down at "setup is starting windows"

When you say it shuts down, do you mean that it restarts? Or, does it actually turn off (fans/hdd stop spinning).

Could be overheating CPU or bad memory.

Go into your BIOS and find "Hardware Monitoring".

Check and see what the volatges are (they should be within 5% of ideal) and temperature of the chip and motherboard.

Alo, while you are there, you could also try and slow the timings down on the memory... the memory might not be fast enough to keep up with the new hardware, so we need to slow it down a bit.

i had a hell of a time getting Windoze installed on my machine after i put in a new CPU/MOBO that used all 400Mhz on my ram and found out that this ram is bad and i have to run on slow timeings (and have been too lazy to RMA the Twin-X i paid out of my ass for... :()

also, try differnt known good ram too!
 
The RAM was 1x256MB Corsair value select VS256400
I took it out and put in 1x256MB Crucial 266 CL2.5

Same result, however exiting the BIOS this time didn't turn the computer off.

The VCore was set to 1.5 and the monitor showed 1.47
I upped the voltage one notch to 1.55
As I said above the CPU is about 122F so I don't think its overheating.

Boot WinXP Cd and got the same result.
The whole computer TURNS OFF when it says "SEtup is starting Windows"

Any more ideas?! I'm about to send this mobo back.

Spending twice as much on a cheap MSI board, new PSU, and RAM.
