New Comp Troubles, Fails on Format

Well, i just picked up my new cpu to complete my new computer, but it keeps crashing in the middle of windows formatting the hard drives...

heres what i've tried...
1. replacing heatsink, reapplying paste (did this twice)
2. reinstalling windows again...

here's my system in brief:
e6400
ga-ds3
2gb ocz plat 800
evga 9600gt oc
barracuda .10

right now i'm running killdisk to try a fresh install.... but then im outta ideas if it doesn't work...

any ideas?
