Need new MB, CPU

I am looking at getting a new Duo Core processor, and MB. I haven't overclocked ever because I never wanted to setup a water-cooled system so that doesn't matter. I am qualified for the Intel RetailEdge program, but I heard the processor is the lowest one in the family and the MB is poop, and doesnt like most DDR2 memory. Any help would be appreciated, as I keep looking on newegg....
 
First, you don't need water cooling to OC, especially with the Core 2s; they don't get too hot.

Buy the Intel Retail Edge package. Although it is the "lowest-end" C2D available right now, it still beats the pants off basically any other non-C2D. You also get a copy of Vista Ultimate for $40, if you assume that the E6300 is $180 and you get another mobo. If the motherboard is truly that bad, you can get a good-but-not-great Foxconn mobo for $100 here. Vista Ultimate is going to retail for $400, so if you get the Foxconn, for $320 you would be getting a $680 value.
