need help with a string of memory problems.

Ok I just put togather a A64 system 939pin. I have been having problems getting XP to install but thats not what I'm writing here about. I can't get the board to boot with more than one stick of ram in it before, I've had this board one day. I put the ram in to slots 1 and 3 as the manual asks and it booted fine before. Now if there is more than 1 stick in any of the slots it refuses to boot. Dosn't matter which sticks, if I put more than 1 in I just get a black screen and no post. So basically I'm wondering what I should RMA back to newegg?
 
I would run Memtest on each stick and if they all pass, RMA the board

Normally I would do just that but here is where I have the hangup. Its with the memory controler being on the processor. Isn't there a possibility that the CPU is bad also in this case?
