need help upgrading server

Hello to all,

I am finally upgrading my servers motherboard, ram, powervsupply, and processor(I had this since fathers day, p4 3ghz 800mhz-fsb)

heres what I want in a board, not looking to overclock, the system will be running all day, at least 5 pci slots, 1000mbps ethernet(important for my network), serial ata(for the future),and 1394(not that important),and 8x agp

1. Now I don't know what motherboard to get, I have been looking at a lot of them but I have narrowed it down to 2 for now, asus p4p800-e deluxe »www.newegg.com/app/ViewProductDesc.asp.. don't know If I really want this a few bad reviews about the RAID controls

and intel d865perlk »www.newegg.com/app/ViewProductDesc.asp..
I like this one except for the few who said they received bad ones out the box.

My ears are open to suggestions, anyone?

2. Good memory to go with it, going for 1gb but will start with 512 for now(because of money), it has to have a life time warranty

3.power supply will have to support 3-4 hard drives and 3 dvd drives and a floppy, looking for quiet and powerful but not power hungry, I might buy as early as monday so I will be on the hunt this weekend
