Need help... =T

Ran Memtest earlier tonite, now my PC wont boot. No post msg's or anything, no VGA signal either... CTRL + ALT + DEL is able to reboot system tho. Any ideas??

I tried taking out mem chips and booting w/ just one module in, still no luck. I don't think its actually booting into windows either as CTRL ALT DEL reboots machine immediately (whereas if its in XP, it'd bring up login screen etc etc)..
Suggestions??

clear your cmos and try again. Be sure power is off when u do it.

Cleared CMOS.... still nothing... =T
What could the Memtest do that would cause this..??

Ok.. re-seated memory again, now system beeps 3 times at startup, still no video...
Checked what 3 beeps meant and its saying that could be back base 64K mem.....
Does memTest do this to memory?? Are all 4 of my dimms shot??

memtest stresses your hardware, this causes hardware that was failing over time to fail alot quicker. Chances are the stress from memtest may have fried your ram or mobo

The 2x512 sticks in my machine I just bought this week, and the whole system itself was put together a few months ago... Everything was running stable and I never had any problems. Would it have failed this quickly?

Update, still need help... =T

Thanks to everyone for replying.. My BIOS is AMI and I've been experiencing between either 3 quick beeps or 4 quick beeps on bootup. The 4 beeps usually happen after clearing the CMOS and booting up, the 3 beeps happen every time I boot up after that. Still no boot up and no video.

I've tried re-seating memory, vid card and CPU. It *did* boot up OK a few times after clearing the CMOS but not anymore. I've already tried using brand new mem chips so I dont think its the RAM. I dont think its the vid card either since that worked on bootup a few times....

Right now, I'm guessing its the mobo since 3 or 4 beeps seem to indicate a possible mobo problem according to the error beep codes.

Any other suggestions before I go ahead and buy a new motherboard??
