i got a prescott2.8ghz oced @ 3.5 ghz with watercooling and the computer reset itself when it feels like it.
I got 1.0 gb geil pc 4000 500ddr @2.85v my cpu temp is 39c sometime at full load 43c.Can someone tell me what could be the problem?

mobo- msi neo 2 865pe chip set
ati radeon 9600se stock speed and voltage.

It seems like if i run higher than 3.2 ghz i get instability problems. That i had it with air cooling. Now i got water cooling and temp is much lower, what's wrong with this pic?
 
there are a number of reasons, your mosfets could be overheating for one. anyways, watercooling forum isn't really the place for this, might be better off in overclocking. (also you might be having power problems but I think 420w should be enough)
 
Not too familiar with Intel systems, but if my memory serves me, you can only clock it by adjusting frontside bus, true? If so you might need to "relax" your memory timings to run stable at higher frontside bus.
