any ideas???

This isn't necessarily CPU related.

Can you give us more detail?
What are your other hardware components, like graphics card, RAM, motherboard?
What is your operating system?
What are you doing when it crashes?
What are your temps?
What is your voltage?
What is your CPU speed?

This is most likely due to heat. It is just rebooting.
Download CoreTemp 0.95, and tell us your temps.

What type of RAM is this?
If it is DDR2, then most likely, there is your problem.
It is being undervolted.

Tell me the type of RAM you have.

I am pretty sure you are going to want to up to atleast 2.0, because it is being undervolted, and is causing stability issues.

We have the same RAM.
Up your RAM voltage to 2.0.

Make sure your timings are set too, manually.
5-5-5-15

done! i just did that but i up the voltage from 1.80v to 1.90v. the timings are set to 5-5-5-15 manual. the system usually restarts itself when i start to watch a dvd and browse the internet at the same time or drag files from the external USB hard drive to my internal c drive.

let me try this and ill let you know.

bad ass dude i think it worked!!! i just ran a bunch of applications all at onced and encoded a dvd at the same time and normally it would crash in a few seconds.

awesome thanks everyone

I am glad to help. :)
Enjoy.
If you want to make sure you are COMPLETELY stable, run Orthos.

You might wana look at your heatsink/fan pins that fasten it down because i had 1 pin loose and i had idle temps like that and once i got it fastened down it went to like 28 celcius idle and 35 C under load.

Yeah, the LGA775 push-pin socket heatsink way is what made me stop pulling my hair out and water cool.
