im OC'ing this to its max 2.4(mabye 2.5), and i want to know the best heatsink(air cooling) that like 40$, i also want to know the best 120mm exauhst fan for it, also case

Your mileage may vary. I can suggest Thermalright's SI-97 for the heatsink but exhaust fan and case are personal choices. There is no "best".
 
mine topped out at 2.2ghz @1.85 volts. Its not gauranteed that every barton core is gonna do 2.5ghz.
 
Zalman CNPS7000Cu is considered one of the best heatsinks available, but you need to check whether or not your motherboard has room for it. Case fans are a matter of preference, as already posted.
