Looking to Upgrade

I've started to realize that my 2 7300gt's aren't cutting it anymore and I'm looking for a fairly cheap upgrade. I went on overclockersclub and checked out some reviews. Based on that I think the 9800 GTX or GTX+ is probably the best card for its price range (i'm willing to spend up to like $150 if that's all I have to buy).

So what I'm wondering is

a). Is that the best card for the money? (don't know much about ati so i haven't looked into those at all)
and
b). If the goal is gaming performance am I gonna have to ugrade my other shitty components? Intel 3.0GHz pentium D, 4 mismatched 1gb sticks of 667MHz ram, XFX 680i LT Sli mobo.
