Is this budget upgrade worth it? (Socket A to 939)

I don't really have any "need" to upgrade I guess, but I've been on the same system for 3 years now and want a cheap upgrade till Vista + DX10 shows up and becomes somewhat affordable. As you can see I don't like spending too much on my computer. In fact the only reason I want to upgrade is because my current setup is giving me problems with shutdown. The system restarts instead of shutting down and sometiems will default to 100MHz FSB on cold boot. I've tried to find the problem, but nothing so far. Anyways...

Current >> Upgrade
Abit NF7-S v2.0 >> MSI K8N Neo4-F (how is it for overclocking, anything better?) -- $ 64
AXP 2500+ @ 2.1GHz >> A64 3200+ 2.0GHz Venice -- $76
1GB PC3200 RAM
9800 pro 128MB >> x800GTO 256MB PCI-E -- $90
Maxtor 250GB 7200rpm 8MB PATA
Antec TP 330W >> Fortron 400W (do I need this upgrade or can the antec get by?)-- $42
Audigy 2 ZS

Total -- $ 272 (+tax & shipping)

Good idea, horrible idea? Is this "upgrade" even worth it? Should I just keep my current system for a little while longer?

not bad on tight budget, i think the psu can handle it, dont see why not
