Is there a difference between these two?

I know one is retail and the other is OEM but they seem have no difference in performance. Hell, the OEM has better warranty then than the retail.

Actually they aren't the same drive. The retail is a KS model and the OEM is an AAKS model which is newer and uses less, but denser platters. Performance, heat and power draw characteristics should be better with that one.

The retail drive comes with a nice box and most likely a SATA cable, probably one of WD's ``secure connect'' cables.
I would get this drive, because I like the vendor's shipping methods better.

That is quite odd even with the retail drive only additionally coming with a cable, CD and packaging.........but the differences I state are true and can be verified.
