I'm about to put it on my processor, it has a rubber pad on it. is that fine? or do I need to apply a thermal compound.
 
A rubber pad? It's more likely a thermal compound pad. In that case, do not apply another thermal compound. Either use the pad that comes on it or completely remove the pad and use your own compound but never both together.
