Help with CPU/MB selection for Media Server

I'm building a media server with the following.

1 HD for OS
7x500gb Seagate drives (RAID 5 or 6)
Areca 1220 PCI-Express 8 port card
Thermaltake Armor
Antec NeoHE 500watts

It'll be running 24/7 so I'd like something stable with relatively low power consumption.

I'll have at least 2-3 DVD drives for ripping multiple dvds at the same time.
It'll be feeding media to at least 2 MCE computers.
Integrated Graphics would be a +

I currently have an Opty 170 with a DFI UltraD which I've considered putting into the server but then it would need to pull workstation duty for Photoshop tasks and DVD Shrink/Divx conversions.

A couple solutions I've thought about are
Pentium D 805 / Asus P5ND2-SLI
Opteron 144 / Tyan S2865G2NR
 
The simple solution to the low-power idea is underclock and undervolt the processor. A lot of heat will be not generated with this simple step ;)

I'd suggest an Intel reference board, or an ECS or something on the AMD side. This is probably more of a question for the Motherboards folks at this point.

 
With that many drives get a power supply with a high as efficiency as you can find, otherwise alot of power will be wasted.
