Help Needed: Cant reboot

System is a Zotac IONITX-F-E (mITX). There is no optical drive or floppy drive attached. 4GB of Kingston DDR2 Thermaltake 200w PSU (stock with the thermaltake element Q case) There is no external GPU or any other hardware (other then monitor lb & mouse) connected.

Essentially I can pull the power & hold the power button in for a few seconds & then plug the power back in & it will boot to windows fine. However it will not reboot after being shutdown (same if I choose reboot). This also occours if I am at a DOS prompt & hit ctrl alt del

when it fails to boot the fans come on, but no video & no numlock so its stopping long before the OS takes over.

The bios is quite out of data, but I have not been able to update it (and I have been trying for the past several hours) as I get "46 - Error: problem getting flash information" when trying from windows or from DOS following Zotac's directions.

Anyone have any other ideals of what may be causing this behavior as I would really like to be done with messing with it as its a gift from santa claus to my daughter tonight.
 
Did you try a different PSU?
Did you reset CMOS?
Did you try a different case?
Did you booting the mobo without hooking it up to the case's power switch?

Honestly though this does not seem like a PSU issue. This system had much more hardware in it before (had a GT240, optical drive, 1.5tb HDD & a Multi card reader) I pulled some of the parts to use in a gaming rig a while back.

To me this seems like something going on with the mobo given that the system does respond to the power switch & the fan (which is driven from the mobo header) does spin up when powering it on.
 
Just trying to rule out the case and PSU considering their quality.

Yep I am aware they are not the best of quality and the truth is I wouldn't of paid for it. This was a request from a friend that wanted the size as her was moving it twice a week. Later he stopped moving his rig around and I built him a system of much higher quality. I kept the old stuff for my 6 year old, but I apparently put off the assembly till too late as now she gets a new desk and chair, but now no computer.
