Just want to give a little background information.
First my current PC:
AMD Athlon 64 X2 S939 3800 (currently running 2.6Ghz)
ASUS A8N-SLI Premium ( love this motherboard to death)
2 X 1GB Mushkin PC-3200 DDR Ram
2 X 500GB SATA HD
1 X 320GB SATA HD
Allied 550watt PS
Nvidia Geforce 8500GT
32" Insiginia HDTV/Monitor
This is the computer I have now which I built myself about two years, maybe a little more ago. The only thing that isnt original is the Video Card, Monitor, and HDs.
Im now starting to get into HD movies in 264 format in 720p and it doesnt really work too well trying to watch a Movie in HD in 264 format (Sometimes it even has trouble playing 720 files with nothing else going on), while Im downloading at 8mb/sec, while using par files to fix downloads and unraring files that Ive just fixed using Quick Par. I also like to use nero vision to encode Divx movies onto DVD for my fiance and with nothing else going on, two passes takes about 1hr 30mins to 2hours.
I do want to mention that I play No games.. Last game I played was Sims 2 and that was probably a year ago.
Okay so here is to the real question. I want to be able to do all of the above at once and not be slowed down. Im currently running windows vista ultimate. Dont really want to go to 64 unless I have to...
Im looking between two processors and dont care to overclock them to their limits with the best HSF I can get..

Could you please help me decide and tell me why one is better than the other? I mean I know one has 4 cores, but is it faster with the clock of the Dual?
Also whats the best motherboard for these guys? Does Asus make a similar motherboard to the one I have in my system now for these guys? I love my motherboard now
