I have:

Abit AS8 LGA775
3.2 prescott
pc3200 1GB OCZ 512mbx2
300W PSU
2 HD
1 DVD-RW

with all that would my 300W power supply not let me use my memory.. i can't use the dual channel fuction or use them in slots 1 and 2 because my hard drives don't show up in the IDE check.. but when i put in my old PC2100 256mb everything works fine

Award gives me C5 post code (call chipset hook to copy BIOS back to E000 & F000 shadow RAM) everytime i try the dual channel or putting the OCZ side by side.. so i was wondering if the RAM wasn't compatible or it was something else

Some of the other people here may help you out more however here are a few things you should try:

1) If you have a higher wattage PSU swap it in there and see what you get.
2) Run memtest86 on the OCZ ram.
3) Check the HCL list on your mobo's website.

You may want to tell us some more about your system, specifically:

1) What type of graphics card?
2) What brand PSU?
3) What brand / speed HDD?

I have no experience with OCZ ram however I have read that several people have had problems with it in the past.

Your 12v rail is at 10.45 volts...

That will definately cause some problems.

Swap out that PS and see if that fixes the problems.

Also, run memtest on that pc3200 OCZ (POS) ram just to rule out that it is defective
 
how do i do the RAM test if i can't get by the post when i try to set them up dual channel

it gives me that wack C5 POST code and the screen doesn't come on
 
How sure are you that you don't have a bad RAM? Do you have another system where you can check those OCZs?
 
not that would handle pc3200..

i shall try that 1 stick method.. what is the command line for one that would tell if if the RAM was bad or not (memtest)

disconnect the molex power connectors from your HD's. You may also want to disconnect the power to the DVD Rom so the only thing using power is the videocard, the cpu and the ram (plus the floppy drive and mobo).

memtest runs from a floppy disk. you'll know you've got problems if you start seeing errors listed in the program. and usually, when you start having errors, you get plenty of them (thousands upon thousands while it's testing).

the other thing to check (no offense) is how the ram is installed. Are you sure you have the ram in the right dimm slots for dual channel memory?

yep, according to the pics on abit's website, they should be slightly different color (1+3 sort of purple, 2+4 sort of blue, or vice versa).
