Fresh XP Pro 64 Install Problem, Need Help with troubleshoot

This is a new one for me, it has me baffled.

New HD, New Copy of XP Pro64, New AMD 4400+

Steps I took:
Prepared Bios ( Made sure i had "normal" settings (non o/c)
Set CD to Boot

Popped CD in, booted in just fine..
Go through where i want windows installed, format etc..
Everything to this point is normal
Reboot Time.......

Bios come up get to the point where windows logo normally comes up but stays black and HD activity ceases. Keyboard locks.
Reset (Warm and Cold Reboots several times) No luck....
Re-Format + Re-Install - Same problem.

Reinstall old HD (w/ XP Home) that drive boots just fine windows runs flawless...
(Hmm well dont seem to be the CPU problem)
So Im thinking well maybe its the HD, and or the fact that its Sata.

So i grab a IDE HD I ve laying around.
Format it - Install XP Pro 64
Same problem!
Hmm so not the HD it seems either.

Frustrated at this point i try rebooting about 20 times.
Then I think for the hell of it i'll hit F8 (shoulda thought of this earlier i know)

Much to my happiness. i get the options
Safe modes, Last known, Normal etc..etc..

So I try normal...it works!
Im able to finish the install Yay!

Surely I think it will boot fine now..
Reset.
Hangs up in same spot Grrrrrrrr......

Reboot, Hit F8 .
High Light Start normally.. Boots just fine. WTH!

At this point Im thinking well maybe its drivers , so i updated my chipset, video card, mobo drivers. Do all the updates from MS update.

Surely this will work now..
Reboot....Same thing Black screen,
Reboot Hit F8 and Im in...

Open web , go to Hardforum ask for help!!!
 
Any OC you have.... remove. Bring all hardware back to stock speeds.

Also are you using VGA or DVi, I lost my screen in DVI but switching to VGA gave me visuals (although I had hard drive activity).
 
Does it with no overclock, in fact i slightly underclocked it and it still did it.

I am using DVI, but i have no HD activity. It does lock up.
