Do I have a memory problem?

I have 4 dimms each of 2GB G.Skill 6400-1066Mhz I recently built a new system Q6600, 8800GTX, Asus PK5-E w/Wifi

I assembled everything and when I try to boot the system it sometimes post but eventually shuts it self off, I dont think its a CPU overheating problem as I have many fans in this case and its a full tower running at normal settings I cleared the CMOS before I booted the system.

I just hear a chime and then it shuts off sometimes even when I'm in the bios anyone care to give me an idea of trouble shooting tips I can use to further diagnose I've tried with each dimm and the same problem, I've heard this board might be a bit buggy with certain dimms.

I also want to state that the system makes a different noice from the normal problem diagnostic errors ie. booting with no video card, memory, cpu etc.. .
 
I know you don't think it's a CPU overheating problem, but it would be a good idea to make sure the heat sink is really on correctly and the fan is connected to the mobo.

If you think it's a memory problem, try running the system with just one stick of ram. If it works fine, add another, etc...

You can also look up the mobo error messages in the manual. Perhaps that will help.
 
See that's just the thing I Dont get any error sometimes the system shutsdown even before it has completed post other times while i'm in the bios just looking at the current settings the longest I've gotten the system to stay up is 45seconds it just makes a low chime then shut down I've tire all 4 dimms of memory each that I have iwith no luck.
