1. cools your cpu
2. mostlikely no
3. yes, but it's a closed loop and doesn't need to be filled/refilled
4. short answer, no. long answer, possibly but you'll need to find a way to cool the on-board ram also
5. depends on how loud the rest of the parts in your pc are and how high you have the fan on it set for. so probably not completely in-audible under normal circumstances when under load.

it's about on par with higher-end air cooling HSFs for overclocking (no where near high-end custom water loops). at stock speeds it should be able to keep your cpu cool pretty silently if that was a concern.
