Computer wont boot with new CPU

I bought a Pentium4 3.2E GHz CPU yesterday at a computer show. When I installed it and turned on my computer it started to power up but the moniter didnt turn on and then I hear "System failed due to CPU Overclocking".
What would cause this problem?
 
Wait wait wait, you heard it say "System startup failed due to CPU overclocking?"

That doesn't make sense at all.
The box was unopened right?

Well, first, I'd try taking the CPU out and make sure it was installed correctly and without bent pins, and then reset the CMOS jumper. Also, make sure the video card is seated properly.

Boot it up and see what happens.
 
not that u did but my friend put his cpu in without moving the latch he just put it in the holes
 
The box was unopened and I bought it from a vender who I have used before. I did install it right and no pins were bent, but I will take the CPU out and put it back in and reset the CMOS and see if it works
 
Resetting the CMOS didn't do anything.

Might this problem occur from incompatibality issues or simply a bad processor?
 
Ah. You must have an Asus board. Are you sure your board can support that processor? Perhaps to need to flash your BIOS.
 
Yes i have an Asus P4C800-E Delux. I just installed it 4 months ago and didnt think the BIOS needed flashing. I will look into flashing the BIOS (ive never done it before) if you think it will solve my problem.

If I recall correctly, the ASUS P4P800-E Deluxe had some problems with recognising faster Prescott CPUs, with BIOS 1001. The same may be true for the P4C800-E Deluxe.

I flashed my BIOS to 1002, because I had some problems overclocking my Prescott.

It's probable you would get the "System failed due to CPU Overclocking" if the 1001 BIOS doesn't like a Prescott at 3.2G
