computer freezes at random

i'm posting this for a friend, so i'm just going to copy/paste what he told me. i tried to debug everything i could think of, but i have no idea what is wrong with this stupid computer. here's what he told me:

HP Pavilion 541c 512 Pc2100 DDR Ram
Formatted and reinstalled windows
ran memtest to check for bad memory
had error on test 7 on one of the sticks of memory but computer will freeze whether that stick is in the computer or not
replaced power supply with same make and model number
replaced graphics card
tried memory in different slots
computer will randomly freeze. The computer will be working then the screen will flicker once then everything will freeze on screen now keyboard commands work, mouse will not move
process light I believe stops as well
This could have begun as a result of a power outtage.
Computer has frozen in the middle of a format and in the middle of an install of windows XP
computer could run for minutes, or hours depending on when the computer decides to freeze.
been plugged into wall outlets, power strips, in two different houses and still freezes so power shouldn't be an issue
called HP and they thought it was power supply being affected by the power outage, but with a new power supply, the same result

Just curious how many times did you reinstall windows?? And did you have that memory (that may or may not be bad) in while installing? I had the same issue and found that the memory was somehow messing up the install but I usually didn't have problems till an hour or so later after install and then the thing just rebooted itself randomly. I took out the memory I found that was bad reinstalled and have had a blissful experience (oxymoron when it comes to windows) ever since!

EDIT: btw if not the memory than more than likely the board hopefully its still under warrenty!
 
i'm not sure how many times he installed windows. i think maybe 2 or 3. the weird thing is that he said when he takes the memory out (the one that reports bad), it still freezes. my only guess is a motherboard problem, but i'm unsure.

any other thoughts anyone?
