How important is a chipset waterblock when OCing? I plan on using the GA-965P-DS3 motehrboard with a E6600 conroe OCing quite abit.

i currently have:

dtek whitewater
eheim 1250
maze 4 gpu block
black ice stealth 240
1/2" ID tubing
T-line

is it worth spending the $40+? is it something to worry about?

In terms of pure overclocking...probably not. The main reason to WC a chipset is for noise concerns.
