Bad CPU or Bad MoBo?

I just bought a brand new P4 2.4C from Newegg and had a used Abit IC7 motherboard I bought about 2 months ago used from a guy and never had a CPU to test it till now. I know all the other componets are in good shape and my RAM is corsair PC3200LLPT CAS222 V1.1 with BH-5 chips.

I have installed WinXP twice and both times I got corruption with the text during the initial setup when you first boot to the CD and the setup is copying the drivers. All the text went to really weird icons. I flashed to the lastest BIOS and everything seemed to install fine. After installing Windows I installed most my programs and I couldnt help myself I started overclocking immediatly as there was no way I was going to put up with a measly 2.4GHz. I got it up to 3.5Ghz at 1.65v with a SLK-947-U heatsink and temps only maxing out at 44° C full load. It didt take long before things went bad with errors and games crashing and a short time after that I backed it back down to default speeds and things kept crashing and eventually windows would not boot at all. I reinstalled Windows again after that and had the same corruption problems with the install I listed above. I cleared the CMOS and the install went fine. Loading Sp1 and DX9 I had some problems with files being corrupt or not found during there installation from a network resource. I had just used the same files on anouther PC I installed windows just hours before and they were fine. I tried them again and they installed fine. This current install I have not overclocked anything and almost immediatly have had Windows Explorer crashes and games crashing.

So what do you think? I am really leaning toward a bad mobo. I have never recieved a bad CPU in my life and I find it highly unlikely that I could have damaged this CPU with the overclocking I have done. But if it is I could return it to newegg, but it has to be within there 7 day return time frame. If its the mobo most likey I am screwed as I took so long to get a CPU for it and the guy would make up some sort of story based on that to deny any sort of responsibility.
