Since when does the 3110 not have a warranty? Esp the retail box version...

Mine overclocked like a champ, 1.25V, rock solid. I'd go with whichever is cheaper
 
Intel sealed retail box CPU's come with 3yr warranty. Intel OEM/Tray CPU's come with limited warranty. Usually 1yr from reputable retailers.
 
I don't think that Xeon's are that great when it comes to gaming. Personally, I'd go for the E8400 instead.

And neither of those CPU's will bottleneck a 8800 Ultra.

There is only like what,100mhz difference between those two? Atleast I wouldn't pay extra for 100MHz, which can be easily achieved by overclocking.
 
I never had the Xeon E3110, but I bought an E8400 back in February. It was very fast, but my current E8500 is very faster;), at the same price!!!
