$300 quiet pc + upgrade. Possible?

Looking for some advice here. I have about $300 to spend, and would like to upgrade my mobo and cpu, and also get a new case with an emphasis on SILENCE. I'm tired of this old black-label delta screamer box I have.

I've been out of the hardware loop long enough I'm not sure what is what anymore. I have an old 1800+ cpu, and a MSI K7T. Would like to upgrade that to something more modern. Don't need top of the line or anything like that, just something a bit more capable. Maybe along the lines of a 2.8 P4 or something. It'd be a plus if I could use the RAM I have now, some Crucial DDR 2700. I'll be reusing my graphics (GF4ti4600) and sound (game theater xp) cards, and most other stuff in the case.

The other half is the case. I was thinking along the lines of an Antec Sonata and a Zalman cooler of some type. Good/bad/otherwise?

Basicly just looking for some advice. Not sure if this is even possible to do. I won't be overclocking, and gaming performance is important, but as I said, I won't (can't) shell out for top of the line gear at the moment.

hmm on looking around a bit maybe i should just opt for the new case and a zalman to fit this cpu first. cost is more pricey on mobos/cpus then i expected.


or maybe just upgrade this seriously aging mobo to something that i could pop a really fast xp proc in later, saving me the cost of upgrading the cpu now?


edit: how about an nforce2 or maybe a kt400 mobo, then upgrad the case and cooler, and save the cpu upgrade til later? good idea/bad idea?

very good hardware for quiet computing suggested by ST|FFY. i would suggest the exact same hardware. by the way SkyMonkey, can you list your current specs?
 
hmm, what's with the moble xp proc? didn't know these exsited lol...less power/heat i imagine?

512 mb crucial pc2700
Hercules Game Theater XP sound card
Gainward GF4 Ti4600 Golden Sample
30gb Seagate 7200rpm hd (forget which one, i 've had it for 4 years, works like a charm still)
200gb WD special edition
other random things

haven't had money to spend in a while, and my focus on my comptuer has turned from passion/hobby to tool/entertianment over the last few years.

yea, the mobile has a lower stock voltage so u have more headroom for OCing
