hmm, it seems I've narrowed it down to the RAM clock cycle settings or the RAM divider settings on the MB.
Right now I'm running memtest perfectly at 260x9 @ 1.6v and a 4:3 DDR266 divider on the RAM at automatic settings, which I assume is 2-2-2-5.
Although I did just ruin my windows xp...
