I just got an older p4 2.4c cpu which i put into a new asus p4p800 se. In addition to this, I am sick of computer noise and so I have recently upgrading all of my case fans to be ultra quiet.

I seem to remember that with the proper cooling, I can get my 2.4 upto 3.2 without much difficulty. My question is then, what fan/heat sink combo will provide enough cooling for this overclock AND be quiet (~20 db... or preferrably < 20 db)?

You have just perfectly described what a Zalman CNPS-7000Cu will do. Here's a link to the Zalman at the egg.

I had one on my IC7-G and really liked it, but it wouldn't fit with the Thermalright NB HSF I installed. Seems the NB cooling on these MoBo's really matters, and once I'd tried the Thermalright NB-1C, there was no going back. I ended up with this Swiftech heat sink, and went with this high volume 92mm Panaflow from Heatsink Factory (only place I found that had the Panaflow in stock). The Panaflow fans are really special; very reliable (among the best in the industry), and very quiet given the air volume they move. Don't let the "high output" name fool you; these fans are very quiet....nothing like a Delta Black Label....:D

The Swiftech / Panaflow combo probably cools a little better, but not that much better (if at all) than the Zalman did. Were it not for the desire to get some better NB cooling and the great performance of the Thermalright with it's associated clearance issues, I'm sure I'd still be running the Zalman. With the 92mm fan, I do have to say that both were / are very quiet given the performance. Very tolerable noise levels; it's my #1 machine so that matters.

The Zalman 7000A-Cu is aweful heavy. I switched mine out for the Zalman 7000A-ALCU because it is much lighter and there is no chance it will warp your motherboard.

I would go with the Zalman 7000A-ALCU or the Zalman 7000B-ALCU.

Both of these running in silent mode would definitely cool your 2.4 Pentium4 with ease in silent mode.
 
yea the xp-120 w/ a PanaFlo or Zalman w/ fan controller will give you ultimate cooling and quietness.
