what could be wrong with my overclock

first off my specs:
abit is7
2.4C
xms pc3200 c2 rev1.1
antec true 430

I've tried running my cpu at 3.2 ghz 5:4 divider and ram timings 2-3-3-6 @ 2.8 volts

Prime95 runs stable for 24 hours @ 1.6 volts and i ram memtest for about 2 hours and got no errors.
Idle my temps are 40-45 and when priming it goes up to 60-65 sometimes higher. Why is this?

2nd of all, even after priming for 24 hours, i would play lieage for about 30 minutes to an hour and the system reboots randomly. Any suggestions to surpass this problem?
