VMWare Converter

Used Vmware Converter to P2V SBS Servers (which have Exchange) without any issues.

My advice is to shutdown/turnoff as many services on the physical machine in order to keep the "image" as consistent as possible during the conversion. Best case usage would be to boot from a CD and do an "offline" P2V.

Once to P2V conversion is done, you'll need to install Vmware tools, verify drivers are installed correctly,resetup your network adaptor settings in the VM and test thoroughly.
 
SJConsultant nailed it. SQL and Exchange P2Vs can be finicky due to constatnly running background services. The P2V tool needs to properly queuesce the entire machine, and there's a lot of state change stuff going on normally, on these boxes.

And you WILL need to immediately install VMWare tools. Expect maybe 5-6 reboots after doing so, for the machine to stop freaking out about all of the hardware that it used to have, and no longer has access to. and YOU WILL have to reconfigure your new virtual NICs. Most of the time, that shit doesn't transfer, so make sure that you have all of your IP information before you do the P2V
