Upgrade or Not?

I have an INTEL D865PE motherboard. I am happy with it in general but i know based on the benchmarks there more powerful ones like the ICG-7 out there that also include nice overclocking tools. Also the new motherboards are coming out with PCI-EXPRESS and DDR2.

Questions:
1) Upgrade to something better or keep my D865 PE

2) If upgrade: should I upgrade to the motherboards supporting things like DDR2 and PCI- EXPRESS or keep with something like ICG-7 and HAVE OVERCLOCKING TOOLS

3) The next generation of motherboards is or is not compatible with P4 C 3.2 GHz and with AGP cards? Does the next motherboard generation have both an AGP and a PCI-EXPRESS?

Suggestions would be helpful (I have about $500 to spend)
(I really want overclocking capabilities)

I take it that Intel Brand board has no OC options and PAT disabled, but stable as a rock. I'd say wait for now....I know the dreaded "wait" word. But unless you're one of those "bleeding edge" people with mountains of cash to blow, I say waiting to see how the next platform plays out is wiser. If you're in dire need of a upgrade then I suggest two things:

1. Upgrade MB to the ICG-7 or comparable enthuasist board NOW, on the i875 chipset that will allow you to use PAT if you have the correct RAM configuration.

2. Wait a litle until NV40 or x800 (assuming the x800 is comparable to the NV40) goes retail in the next month or so.

Option 1 would be the route I take if I am in dire need of an upgrade immediately (seems to me you don't because that intel 865 board is an awesome board even without PAT). Option 2 would make the most sense if you want a increase in game performance.

At this point in time, I think it's hard to predict how the upcomming platform change will play out. As with anything new, there will be erratas and bugs (NV40 and x800 included) that will be hammered out a bit after the initial introduction. As for me, I am eager to see how the x880 will perform since it will be a true PCIX 16X card. I am waiting for socket 939 nforce3250GB motherboard utilizing PCIX and DDR2.
