Restarts when online?

The problem I am having is that my computer was running baddly so I decided to reinstall XP for the first
time. Now after the reinstall when ever I go online (dial-up) after about 10-20 minutes I get a message
that says

Windows must restart. This was initiated by NT AUTORITY/SYSTEM

Remote Procedure Call has ended unexpectedly.

The message then counts down one minute then restarts my computer. During the minute countdown I can still
open and close programs and shutdown or restart the computer befor time runs out.

I have reinstalled XP about 3 times and the same happens no matter what order I install the drivers in.
I also tried installing windows without my graphics card and modem installed like it was the very first
time I put windows on this computer.

I have a Shuttle SK41G running Windows XP Pro and use Earthlink for internet access. My modem is a
HSP56 MicroModem.

This is driving me insane and I thank you for any help you give.
