Question about Windows 7 upgrade version

I'm building 2 PC's next week along with wanting to upgrade the OS in my laptop. My Dell laptop has Vista 32 bit, one of the computers has XP Home Edition and the other has Vista Home Premium 32 bit. I'm wanting to wipe the HDD's on both computers, but one of my sister lost their cd key. Seeing as the family 3 pack is an upgrade edition, would I still be able to do that since I don't have the cd key for the Vista Home Premium computer? Could I just install Vista on it without activating it and then put Windows 7 over it or would it still ask me to activate with W7?

I could always just clean up the HDD with Vista Home Premium if I can't, but my sister's said they rather have everything off it like it was a new computer.
 
You don't need proof of a prior windows installation, or a current windows installation to use upgrade medium. You can do fresh full clean installs straight from upgrade media. It's all over the tech news sites, Hard front page, etc.
