Processor overheating and shutting the computer off?!

On my one computer... the processor is overheating and shutting of the entire system...

This is completely weird.. I will try to explain.
I come home the one day turn on my computer and the system board is making what appears to be a lame MIDI song..lol Two different beeps that I have NEVER heard before.. not your standard POST beep or memory error beep..etc
After it did that a screen before the POST came up and said the processor had overheated and to service imediatly to fix the problem. Press f4 to resume.

So I pushed f4... went into windows fine... checked out the processor temp and it's only 30-33 degrees C. Infact I have never seen my processor temp be above 42degrees C.. and that was when I was gaming..

So my main question is why is this happening?!

SOMETIMES actually, just recently yesterday and today. I will be in windows, and the computer just shuts off... I try to power it back on and it shuts right back down... I wait 10 seconds, turn it on and the computer plays that lame midi song telling me why it had just shut off because of the overheating..?! I go into the setup via the bios and it tells me the temp of the processor is 32 degrees C....

Unit is a Intel desktop D845EBT2
Intel Pentium 4 processor 2.53ghz

Heatsink is a Swiftech mx4000
with a 10,000rpm TMD fan...

NEVER had a problem with this combo so I have no clue how the processor is
overheating... I even took the processor off, inspected it, and reput on artic silver on it.

I'm lost as to what is going on or what to do...

I dont think its cpu overheat, its prolly the power supply going bad

The fan isn't loud at all.. actually my 92mm blow hole is louder than the CPU fan... although it's funny it's a differnt kind of spinning noise since there is no Hub in the middle... when you shut the computer off you can hear the CPU fan spinning down and it's a cool whooshing sound... hard to eplain but really neat.

What makes ya say that? If the PSU was going bad wouldn't it just not turn back on? Is there anyway that I can check it?

well... it happened to my girl's computer a while back..her board didnt beep, it just kept turning off, so this might be totally unrelated.

it was the power supply. the PSU fan kept clogging and not blow enough air to cool the PSU down - it would blow some air, so it'll just take awhile for it to overheat.

I've heard that song before. It's really retarded and I thought it was a heat thing too, but the comp wouldn't post. I reseated the heatsink and checked all my connectors, etc... and I haven't heard it since. Try just reseating the heatsink, maybe reapplying thermal, make sure everything is all plugged up perfectly, and try again.

Swapped out the PSU... so I am TEMP. running on it... So far it's not shutting down..

So I have had my computer on the last 7 hours with the NEW power supply... so far nothing is shutting off...
I am bummed cause my processor is about 6-7 degrees hotter because the 500watt HE antec psu doesn't have two fans in it like my first antec that died did... actually it has only the one fan...

I looked at all the conectors and they all appeared to be fine OTHER than that one pin in the picture... :-(
