Trying to narrow down the culprit here. I am a noob and I'd appreciate it if you guys could help out.
I recently replaced my CPU and Motherboard with X2 4400+ and Asrock 939Dual-VSTA. My complete spec is

AMD Athlon64 X2 4400+
Asrock 939Dual-VSTA
eVga GeForce 6800 AGPx8 (non-ultra, but I unlocked all masked pipes successfully with RivaTuner)
OCZ 2 x 1Gig RAM
Soundblaster Audigy2 ZS
Hitachi SATA II 160Gig HDD -main hard drive
Maxtor Ultra ATA 60Gig HDD -for file storage (Slave)
NEC DVD Writer (Master)
SeaSonic S12-600 600W PSU
Win XP Pro x64(64 bit)

The highest core temp I've had so far is 52C.
I'm pretty sure my PSU is fine.
I have the AMD X2 driver and dual core optimizer installed.

I ran two instances of Prime95. I've got errors on both like...
'FATAL ERROR: Rounding was 0.5, expected less than 0.4
Hardware failure detected, consult stress.txt file.'

One got it after about 2 and 1/2 hours from the start.
The other got it after about 2 hours from the start.

Also, when I ran just one instance without any affinity specified I got similar error message in about 9-10 hours(ran overnight with with SpeedFan as well, if that matters)

I also ran Memtest. I had NO ERROR for over 24 hours with same BIOS setting.

A strange thing is the system just hung right after cold-reboot this morning with that my Ultra ATA Maxtor hard drive constantly running. It happened when I tried open Firefox and nothing happened. The mouse cursor moved but no reaction from double-clicking. Not even 'Start' worked and the secondary HDD(not the main SATA II drive) LED was brightly lit. I have separate LED for the main HDD. I had to turn it off by the force of my mighty finger. This night not be the CPU-Prime95 related issue but who knows.

What do you guys think? CPU? Mobo? Help, Please.

i received the same error today after 6 hours of testing. i too ran memtest without any errors.

OK, here it goes...

The beauty of this brand new ASRock motherboard is that it has no documentation about BIOS settings in the manual it comes with or ASRock online. So a noobs like me can have some real serious fun guessing the shyt out of memeory settings in the BIOS. Isn't it amazing? (Sigh...) What I know for sure is when I bought these 2 dual channel RAM modues from Newegg.com last year it said 2-3-2-5 timing. I think it was this one
I would appreciate any advice regarding this BIOS memory settings since I am not 100% sure about my current setting.

Thanks guys.

disable cool n quiet.... could be causing errors.... are you OCing at all?

everything at stock.

And something I forgot to mention. Last time, I ran 'custom' with 400M memory allocated for each instance which both got error within 2-3 hours or so.

Disable Cool'nQuiet? Even if I had the CPU drivers which has Cool'nQuiet support implemented installed? I guess I'll try that nonetheless.
