passive cool a socket 754 cpu

im looking to make my HTPC very silent. Could i passively cool a AMD64 3000 "newcastle" CPU with this http://www.newegg.com/Product/Product.asp?Item=N82E16835109122 using AS5 paste.

also my case is a steel ANTEC 2650BQE /120mm fan.
 
Would putting a 90mm fan on the heatsink and having no case fan a better option. i could get a really low RPM 90mm fan for the cpu heatsink.
 
if your going to use the heatsink in a passive mode you should use an air duct so that the case fan sucks hot air away from the heatsink.

ya good idea a air duct should work well.
