new system keeps restarting

Here's the setup for my new system:

ASUS K8v SE Deluxe
AMD Athlon64 3200
Crucial DDR-400 512mb RAM times two for 1024 total
ATI Radeon 9800 Pro
Western Digital 120GB SATA hd

I think thats about all the perks..

My problem is that when I'm using the computer, it just restarts after some time. It varies depending on what I'm doing. If I leave it idling in Windows, it runs fine. But as soon as I kick up BF Vietnam, FarCry, or try to install something, it just restarts. It's like whenever I put the system under a somewhat heavy load, it restarts. I've been combing through it for days now, and I thought it had might been a problem with something overheating, but for all I know, I'm way off.

At first I though it might have been the videocard, so I swap it out with an older Nvidia card I had. Same problem. Then I thought maybe the cpu is overheating, so I check the heatsink and reapply some thermal grease, yet it still restarts under a load. Odd thing, though, is that it seems to extend the time before it restarts if I lay it on its side, which makes me think the heatsink and CPU aren't contacting properly.

I keep toying with it, but to no avail. It's driving me insane that I can barely use this system that I was so excited about. Right now I'm on another computer downloading the newest via 4 in 1 drivers and the AMD Athlon64 drivers for XP. But in the mean time before I get a chance to try them, does anyone else have ANY ideas whatsoever? Try a diff heatsink/fan, any drivers I may be missing, motherboard possibly grounding itself out?

Any help is greatly appreciated. Thanks, Matt

BTW, CPU temps seem to be around 108/109*F, MB temp around 90something if I remember right, and case temp ~80-85*.

I forgot to mention that when XP starts, i get an error msg that says the system has recovered from a serious error, and shows that minidump file stuff. This related?

Ya, test the ram first.
Does your board have overheat protection?(locate in bios) If so, then check to make sure the settin isn't to low.
Then try a diff psu.

Always try and take the easiest route first.

xp always does that (unless you tell it not to). No biggie there for this problem. Just kick windows in the a** and tell it nos*it.

Cheers.
