I have Vsync turned off and Application Perfrence on both Direc3d and OPenGL, What could the problem be

There are soooo many factors that plays a role in which why he beat you.....im too lazy to list them but use your brain!

He has 4x AGP like me, Same Ram (PC-2100), He has a p4 1.7 Oc'ed to a 2.1 i have a AMd Anthlon 2.0 Oc'ed to 2.1 ghz, I have 9800 pro he has 9600xt, what else could there be?

Background applications including virus and anti virus software, your radeon 9800 pro would be from diff manufacturer, his maybe oced etc.... if it is less then an 10% diff why bother....

I am only running Aim and a Firewall thats it, i score 3950 in 3dmark 03 and he scores 3500, im starting to think this card wasn't worth $320, i am about to sell it. I just got it 2 days ago

I have a 9800 Pro with a Barton 2500+ and 768 of PC2100, I got almost 5400 with no OC'ing. Something deffinately does not sound right here. Here are a few suggestions for you to try....

Try a bigger (or just a new) PSU, the one you are using might not be giving your card the right amount of power. ATI says to power it off the HDD lead, but I gave my card an independant lead.

Check to see if your MOBO is in fact an 8X MOBO. If it is, make sure that it is set to 8X.

You also might be having some kind of driver or IRQ conflict going on. Did you do a format and a clean install, or did you just replace your previous card?? If you replaced an existing card, and if that card was an Nvidia based card, that could be causing a driver conflict. Try reformatting and do a clean install.

Did you install Direct X 9, and if so, is it working properly??

I got a 350 PSU and no i didn't clean format i unistalled my Old Nvidia card then Installed Ati. Do you think i should Resinstall windows?

Unless you downloaded and ran a Detonator killer, that very well could be your problem. I would recomend backing up anything you don't want to lose, reformat, and do a clean install.

You should have ran the det killers BEFORE installing the ATI drivers, which is why I very strongly recomend a reformat. If you want the killers anyway, try google, but I honestly do not think that it will make a difference with the ATI drivers already installed.

It works fine i have reformated and my 3dmark 03' scores have gone up dramasticlly.
