I have a system on order with a P4 3.8 and an Asus P5AD2-E Deluxe Motherboard, and I'm having a hard time figuring out which way to go for cooling this thing down.

Basically I'm just looking for model recommendations for a relatively quiet, but good quality HSF. Noise isnt a huge concern but I dont want an airplane inside my PC either.

Any direction you can give me would be appreciated. I'd like to stay under $50 USD.

Yes it does. You need THIS Retention Module to fix the XP-90 to a socket 775.

Also, you may want to consider the XP-90C.

THe 90c is gonna bust your budget plus its heavier than whats recomended by Intel (Or amd) and test have shown it to only gain 1-1.5c over the standard XP-90
 
I like the Zalman 7700. Either the Cu or Al/Cu version, both cool well. You can get it reasonably priced at Amazon. Free shipping & no sales tax.
 
I have the same board, go with either of the Zalman 7700 HSFs. The only difference between the two is one is all copper and weighs over 900 grams and the other is a lighter copper/aluminum build. They are quiet and cool like a mother.
