Pretty sure you all have this problem and every one told you to DISABLE power management which is wrong......finally figured out how to fix it.

1. go to your network adapters properties
2. go to the "power management tab"
3. Check "Allow the computer to turn off this device to save power" ------- ENABLE IT NOT DISABLE
4. Check "Allow this device to wake this computer" ------ ENABLE IT NOT DISABLE
5. click ok

it should look like this

Mine are disabled and work just fine.

I'd suspect the NIC drivers / hardware doesn't do device (D3 to D0 or D0 to D3) sleep state transitions cleanly.

Are these Windows Vista (inbox) drivers?

The problem with this fix is, depending on your network and other configurations, your computer may continually wake up from sleep for no reason.

Which is exactly why I have the wake option disabled.
