Computer Comparison Question?

I currently have a dell 8200, I bought a dell because in 02 I was broke, desperate need for a decent computer and they financed me. Currently after upgrading this past xmas its specs are:

P4 2.0ghz
512 pc800 rdram
80 and 120 gig 7200 rpm HDD
NEC DVD R/RW +/-
Samsung DVD - Rom
SB audilgy z2
ati 9600 256mb 128 bit pro
250 watt psu

Its runs pretty decent, not bad still something is bottlenecking my system (pretty sure its the ram?) and doesnt run as well as Id like it to. Plus being OEM I have no control of the bios and overclocking. Really my HL2 preformance is what Im not happy with at all, I just feel like it should be running better than it is.

So my grandpa has decided to get rid of his pc that he has because he is buying a laptop and wants to turn the office in to another room. His specs that I know of are:

AMD 2100 @ 1.8ghz
512 2100 Rdram
AZA266A Athlon motherboard
300 watt psu

He is giving me this pc to do whatever I want to do with it. So this is what I was thinking.
Pull my HDD, soundcard, dvd burner and vid card out of my current rig and put it in the amd rig. So basically if I do that the amd rig will look like this :

AMD 2100 @ 1.8ghz
512mb pc2100 ddr266
NEC DVD R/RW +/-
AZA266A Athlon motherboard
300 watt psu
80 and 120 gig 7200rpm HDD
SB audilgy z2
ati 9600 pro 256mb 128 bit pro

I mainly use my pc for gaming, media center and video conversions, so my question is will the amd out preform my current p4 rig? Will I notice much of a preformance difference? I know for sure the amd rig has better fans and cooling that my dell currently, plus Id love to have control of my system so I can overclock and tweak my bios?

So what do you guys think? I think In the long run the amd system would be a much better rig for my needs and better to upgrade, currently I have no money to upgrade so that is not an option now.

I think that, overall, either one of those is going to perform nearly the same. Since you'll be using the same video card, and the processors are nearly the same in terms of relative performance, you're probably not going to see much, if any, improvement in HL2 going from the P4 to the Athlon.

For better performance, you're probably going to need to upgrade. I'd suggest some good memory first (at least 1 gigabyte of memory), followed by CPU and Mobo.
