2.6c Compatibility Issue?

My system for my lil bro wont boot up, when I turn it on the mobo says (headphones) CPU Test Failed. The mobo is a Asus P4C800 and the cpu is a 2.6c . I have tested ram, and v-card. Could it be the motherboard? Does this sound right to anyone?
I'm assuming that i will need to upgrade the bios , the site has a link, I dont have any other intel cpu's so how do the suppose i will update my bios?
Am i missing something.

sorry for the ultimate-noob post but im surprised at this.
