That looks like the PC-65B windowed side panel.

So the side panel SHOULD theoretically fit.
Just acquired this battery backup since my last APC battery backup stopped working on me...plus it wasn't powerful enough for my computer anyhow...
Anyways, it's all hooked up and working just fine, except the APC UPS Service will not start. I've tried manually starting it within services.msc...
As far as I know the P35 chipset is in the same location as the P965 chipset (relative to the motherboard edges), so you should have no problems orienting the Ultra 120 Extreme like I did. Here's a pic:
Tighten until they will not turn any further. Keep in mind that even when fully tightened down, the heatsink will move/wiggle a slight bit. Don't be alarmed though, it shouldn't impact cooling. If you feel that it does, however, you can get a washer for a dime at ACE Hardware and stick it...
If you've disabled SpeedStep functions in the BIOS, and you're running Windows Vista, you'll have to modify the Power Management settings to "High Performance" through the control panel.
