4GHz+ on those quad cores isn't as breezy as you think. Also, you're populating all the dimm slots which will make it that much harder to get stable, believe me. If you must, go with some used 4GB 1066/1100/1200 and try your luck and rule out the RAM at the same time.

Go with the 212 and use anything else besides AS5. I went with the pre-packaged CFIII from my Venomous X and load temps went down 4-5c over the AS5 I had applied before.
The premium heatsinks are real good but there are diminishing returns when compared to the 212 when you factor in price.

I've been a ThermalRight fan since I was finally able to get the SK6 copper back in grade school. Currently using the Venomous X with x2 Noctua NF-P12-1300 push/pull.
Do you mind taking a measurement? I'm also running the EP45-UD3P, Venomous X with 2 Noctua 120mm NF-P12.
The top fan is a bit of a dealbreaker for me :(
