How do you think an Intel Core 2 E7400 would stack up against a Dell PowerEdge4600 w/ dual Xeon 2.8's? I mean if they had the same components across the board except for these.....which do you think would come out on top?

Doing what? Gaming? Folding? It all depends on what you are using it for.

I would say that the Core2Duo would best the Xeon's in everyday usage.

Server workloads....media transcoding (Tversity), file sharing, maybe virtualization....

an overclocked e7400 would still be better.. since the dual xeon 2.8ghz are just p4 2.8ghz..

What kind of Xeon does the 4600 use? If it uses P4-based Xeons, then like sirmonkey said, the E7400 will be considerably faster.
