Which system do you think would perform better

Moving around parts/systems today....trying to decide which I should set up as the secondary HTPC.

System 1

Intel Celeron E3300
Intel G31 IGP
2GB DDR2


System 2

AMD Sempron 140
Geforce 210 PCIe
4GB DDR2


Due to MoBo limitations.....I can't just put the GeForce and extra Ram in with the Intel otherwise I would have done that.

I would say If you are doing netflix and web stuff the geforce 210 is going to go a lot further than the intel igp. The celeron probably has a little more umph on the cpu front. Have you looked at maybe unlocking the second core on the sempron 140 as it may get you the both of best worlds.
