Upgrade RX-V659 to Denon 3805?

Someone is locally selling a Denon 3805 receiver which 2 years ago retailed for 1200 dollars. I figure I could talk him down to sub-300 dollars. Would this be worth while?
 
Both are good receivers but keep in mind the Denon house sound is a bit different from Yamaha's. Denon's are warmer than Yamaha's which in my experience are a little bright. Personally I'd get Denon.
 
The receiver is now a few generations behind and without hdmi. He has it listed as 500, but if you check ebay you can see buy it now for 290.
